Wholesale Terms & Conditions

The following overview outlines the general terms for wholesale partnerships. These terms are provided for informational purposes only. Approved stockists will receive a full wholesale agreement with specific details regarding pricing, order minimums, and other contractual terms.

1. Eligibility

Wholesale accounts are available to established retailers with a physical storefront and/or a dedicated e-commerce platform. Business registration details and a resale certificate (where applicable) may be requested as part of the application process.

2. How to Order

Upon approval, retailers will be granted access to the current wholesale catalog and order form. Orders must be placed directly through the provided channel (e.g., email and/or wholesale form). Third-party marketplaces (such as Amazon, Etsy, or Faire) are not permitted unless explicitly approved in writing.

3. Product Availability

Products include fine art prints, greeting cards, vinyl stickers, and related merchandise. Availability may vary depending on seasonal offerings, production schedules, and inventory levels.

4. Payment Terms

All orders must be paid in full before shipment, unless otherwise agreed upon in writing. Accepted payment methods include [credit card, e-transfer, ACH, etc.]. Net payment terms may be extended to returning retail partners in good standing.

5. Shipping & Turnaround

Most orders are processed within 1–3 weeks of confirmation. Longer lead times may apply during busy seasons or for large-volume orders. Shipping costs are the responsibility of the retailer unless otherwise specified. Tracking information will be provided at the time of shipment.

6. Returns & Damages

All sales are final. Returns on unsold merchandise are not accepted. Damaged or defective items must be reported within seven (7) days of receipt, accompanied by photographic documentation. Replacement or credit will be issued at the discretion of Kate Wadsworth Illustration & Design.

7. Pricing & Retail Guidelines

Wholesale pricing is available to approved stockists only. Suggested retail prices will be provided and should be respected. Retailers are expected to follow minimum advertised pricing (MAP) guidelines. Promotional discounts below the suggested retail price require prior written approval.

8. Authorized Sales Channels

Retailers are permitted to sell Kate’s products only through the channels approved during the application process (e.g., brick-and-mortar stores or official online shops). Resale via third-party marketplaces is not allowed without express written permission.

9. Image Usage & Brand Representation

Retailers may use approved product images and descriptions for promotional purposes, with appropriate credit to Kate Wadsworth / @wadsworthink. Modifications to images or branding assets are not permitted without prior written consent. Products must be merchandised in a manner that aligns with the brand’s visual identity and values.

10. Termination

Wholesale relationships may be terminated at any time by either party with written notice. Kate Wadsworth Illustration & Design reserves the right to revoke wholesale access due to inactivity, brand misrepresentation, or violations of these terms.
